CESMII Smart Manufacturing Roadmap Agent

In these terms, "we" and "us" mean the publisher named above, "you" mean the business or professional buying access, and "the Agent" means the CESMII Smart Manufacturing Roadmap Agent software service.
The Agent executes the CESMII Smart Manufacturing Acceleration Roadmap process and produces the associated deliverables from the inputs you supply. It is sold to professionals and businesses acting in the course of their trade. It is not sold to consumers, and by buying you confirm you are acting for business purposes.
The Agent is intended for use by, or under the supervision of, a person qualified to run the CESMII roadmap process for a client. It does not replace that qualification.
One run credit buys one phase run. The process has five phases, so a complete engagement with no re-runs consumes five credits. Re-running a phase, which is a normal part of the work as new inputs arrive, consumes one further credit each time.
Prices are those displayed at the time of purchase and are stated in US dollars, exclusive of any value added tax, sales tax or equivalent charge that may apply. Where such a tax is due it is added at checkout or invoiced separately, and you are responsible for it.
While the publisher is under the French franchise en base de TVA, invoices carry the mention "TVA non applicable, article 293 B du CGI". Confirm with your accountant that this sentence belongs here as well as on the invoice, and remove it once you are registered for VAT.
Payment is taken by Stripe, which processes card details directly. We never receive or store your card number. Access is granted once Stripe confirms the payment.
A Pro subscription renews automatically each month until you cancel. Cancelling stops the next renewal and your access continues to the end of the period already paid for. A partial month is not refunded.
Because the Agent is sold to businesses and not to consumers, the statutory right of withdrawal that applies to consumer purchases does not apply. Our own policy is:
Everything you upload stays yours: assessment exports, interview notes, financial figures, background documents. The deliverables the Agent produces for you are yours to use with your client without further permission from us.
You grant us only the permission we need to run the service for you: to store your content, process it, send the parts of it that a step requires to the providers listed in our Privacy Policy, and produce your deliverables. Nothing more.
We do not use your content to train models. Before publishing this, verify that the data policy configured on your OpenRouter account and on each model provider it routes to actually supports this promise. It is a promise about your suppliers, not only about you.
You confirm you have the right to give us the content you upload, including where it concerns your own client and the people who took part in their assessment or interviews.
The Agent drafts its deliverables with the help of large language models. Their output can contain errors, omissions and figures that look confident and are wrong.
You remain the professional. Every deliverable must be reviewed by you before it reaches your client or informs any decision. The Agent reports what it could not do rather than hiding it, and its gate findings exist to be read, not dismissed. Financial estimates are computed from the figures you supply and are only ever as good as those figures.
We do not warrant that any deliverable is accurate, complete or fit for a particular client situation, and we are not a party to your engagement with your client.
The CESMII framework, its course materials and its document templates belong to CESMII. The Agent populates those templates on your behalf on the basis that you are entitled to use them. Nothing here transfers any right in CESMII's material to you.
Confirm with CESMII, in writing, what your certification permits you to do with their templates in a commercial product, including translated versions of them.
The Agent is offered as it is, with no service level commitment. It is early software: features change, and planned or unplanned interruptions happen. We will give reasonable notice of anything that would stop you working where we can.
Some steps depend on third parties, including model providers and search providers. If one of them is unavailable, a phase run can fail. It then consumes no credit, and you can run it again.
This clause needs a lawyer. It is the one that decides what happens on a bad day, French law limits how far liability can be excluded, and the usual shape is a cap at the amounts paid over the preceding twelve months with no exclusion for gross negligence or wilful misconduct. Do not publish a placeholder here.
You can stop using the Agent at any time. We may suspend an account that is being used unlawfully, that is attacking the service, or that is sharing access outside the account holder. Where a suspension is not your fault, we refund unused credits.
We may update these terms. Changes apply to purchases made after they are published, never retroactively to credits you already hold. If a change matters to you, we will say so by e-mail.
These terms are governed by French law. They are drawn up in English, which is the language of the contract. Any dispute is subject to the courts of jurisdiction.
Ask your lawyer about selling to US businesses from France: whether a jurisdiction clause of this kind is enforceable in practice, and whether a French customer would need a French version.
